UAE holding companies: when might they make sense?

Explore ownership, distributions and succession alongside UAE company-tax rules.

Holding company for business owners

A holding company can separate the ownership of investments or subsidiaries from an operating business. That can help organise governance, distributions and succession, but the legal structure is only part of the decision. The tax treatment depends on the assets, the income and whether the relevant conditions are satisfied.

UAE participation relief and free-zone rules should be checked against the actual activity. Registration in a particular location does not establish an exemption. Also consider where directors make decisions and whether another country can tax the company or its shareholders.

A situation worth reviewing

An owner relocating with an established UK business should compare keeping the existing ownership with introducing a holding company. The review needs company residence, dividend flows, UK rules and annual running costs. The structure should solve an identified problem rather than add an extra company to an otherwise simple portfolio.

For UK assets and UK connections

For a UK departure, record residence, retained UK work and income, then confirm reporting before a major withdrawal or sale. For a UAE pension treaty claim, HMRC identifies country-specific evidence involving DT-Individual and an FTA Tax Residency Certificate. Check the exact pension type rather than infer relief from your visa.

Keep ISA, investment and pension provider access in the plan. An overseas address does not itself establish a tax result or make an account transfer suitable.

For US persons

A US citizen or resident alien may retain worldwide-income obligations after moving to the UAE. Review the actual US status before relying on a local tax outcome. Foreign-company ownership, unfamiliar funds and international wrappers need a US classification and reporting check before purchase.

Ask whether your existing custodian can service a UAE address. Keep account access, investment choice and tax reporting separate in the comparison.

Before changing an arrangement

Compare the existing position with the proposed arrangement after fees, taxes and access restrictions. Keep a simple record of who owns each asset, where income arises and when it will be used. A lower headline rate is only useful if the account or regime qualifies and the structure remains appropriate when your plans change.

Company management can create UAE residence

Foreign companies effectively managed and controlled in the UAE can be UAE corporate-tax residents.

UK incorporation obligations may also continue. Personal investment exclusions do not exempt an operating company, and a free-zone address alone does not settle the corporate position.

Worth exploring: Review actual governance, operations and remuneration before changing the ownership structure.

Ask a planner: Where are key management and commercial decisions actually made?

Overseas holding company! High priority

Review the entity and actual management

Foreign incorporation alone does not establish the combined tax result.

UAE companies and foreign companies managed in the UAE need corporate-tax review. Personal investment exclusions and a free-zone address do not supply a blanket company exemption. US owners also need foreign-company reporting and classification review. No numerical saving is assigned.

Worth exploring: Consider a company only where its commercial and planning benefit justifies the obligations.

Ask a planner: Where is the entity managed and which people own or control it?
